GENERAL TERMS OF USE
INTRODUCTION
The purpose of the Website www.giumo.it (hereinafter the «Site» or the «Website») is to offer an e-commerce Site for online purchases selling products of various categories, from electronics, to personal care and clothing.
Access and use of the Website by any User (hereinafter, "the User"), regardless of the purpose of his visit, whether for consultation or purchase only, are governed by these General Conditions of Use (hereinafter also referred to as "GCU"). By accessing and using the Site, the User agrees to be bound by these General Conditions of Use. In the event that the User does not intend to accept the GCU, the User must not use the Site. Giumo reserves the right to suspend or interrupt a User's access to the Site at any time, without notice, in the event that Giumo (a) reasonably believes that these General Conditions of Use are violated or (b) deems it is necessary to do for security reasons.

Intellectual property
Website
The User acknowledges and accepts that the Website contains confidential and proprietary information protected by laws on intellectual property. All intellectual property rights on the Site, including but not limited to software or HTML code, databases, newsletters, texts, drawings, photographs, images, designs, video and/or audio material and any other material contained on the Site (hereinafter the «Content»), are exclusive property of Giumo. All Content is available to the User by Giumo, exclusively for personal and non-commercial use. You may not: (a) copy, reproduce, publish, transmit, distribute, perform, display, communicate, modify, create derivative works from, reverse engineer, sell, license or otherwise exploit the Website or any part of its Content.
Brand names
The User acknowledges and accepts that Giumo is the exclusive owner of Giumo brand and logos, as well as any other brand and/or logo (the "Brands") appearing on the Website. Any use of the Brands by the User is strictly prohibited and constitutes a violation of Giumo's intellectual property rights.
Giumo reserves the right to take action to obtain compensation for damages in the event of counterfeiting of the Brands and/or in any case of infringement of its intellectual property rights.
Hyperlinks
The Site may from time to time contain hypertext links to other sites, web pages or third party content. Giumo cannot control such sites, web pages and third party content and therefore cannot be held responsible for the accuracy, correctness, security or reliability of any site, web page or third party content, nor can it in any way be responsible for the content, advertising, products, services or any other information or data present on or deriving from such third party websites or web pages. Furthermore, Giumo cannot be held responsible for any damage or loss suffered by the User as a result of his access, use or reliance on such sites, web pages or third party content.
Giumo reserves the right to request the removal of any link with the Website that has not been, or is no longer, authorised.

Accounts
The User may decide to register his information through the Website and create a personal account ("Account"). In the absence of an Account, the User will only be able to access or use some of the services or options offered on the Website. To create an Account you must provide a valid email address and create a password to access your Account. You are solely and entirely responsible for maintaining the confidentiality of your login information and controlling access to your Personal Account. The User will be solely responsible for all activities carried out through his Account (including, for example, any purchase of products made through his Account), except in the case in which the User promptly notifies Giumo the unauthorized use of your Account by a third party. Giumo reserves the right to interrupt and close a User's Account, at any time and without notice in the event that Giumo deems, in its sole discretion, that the User is using his/her Account in violation of these General Conditions of Use, has reason to believe that a third party is using the Account of another User without the latter's consent or for security reasons or for Site maintenance reasons.

User behavior
The User must use the Internet responsibly and with respect for the rights of other Internet users.
As such, the User, by accessing the Site, will refrain from:
- upload to the Website, publish, send by e-mail or transmit by any other means Contents that is unlawful, harmful, abusive, harassing, tortious, defamatory, vulgar, obscene, indecent, invasive of another's privacy, objectionable, offensive, racially, ethnically, or otherwise objectionable;

- damage, or attempt to damage, the use of the Service by any User, host or network, including without limitation, through the introduction of viruses on the Website, the voluntary overloading or saturation of the server and/or e-mail boxes or, again, the falsification of TCP/IP protocol information or any other information forming part of the headers included in any email message;

- engage in an activity or induce another person to engage in an unlawful activity, or any other activity that may violate the rights of Giumo, its suppliers, partners, distributors, or its advertisers and/or any other User;
- transmit or transfer (by any means) information or software derived from the Site to foreign countries and/or foreign citizens in violation of any national or international law or regulation.
Recognizing the global nature of the Internet, the User undertakes to comply with all national and international rules and procedures relating to online conduct and admissible content, including all laws in force relating to the transmission of technical data.
Giumo reserves the right to prevent any User from using the Site who violates one of the general principles of use.

Responsibility
User Responsibility
The User acknowledges and accepts that the use of the Website is at his own risk. Giumo cannot be held responsible for any damage that a User may suffer as a result of such use. Giumo DECLINES ALL LIABILITY FOR INDIRECT DAMAGES, REGARDLESS OF THE CAUSES, ORIGINS AND NATURE OF THE SAME, ARISING FROM THE USE AND/OR NON-USE OF THE SITE, AS WELL AS FROM LENDING CREDIT TO ANY INFORMATION COMING DIRECTLY OR INDIRECTLY FROM THE SITE ITSELF, INCLUDING BY INCLUSIVE, BUT NOT LIMITED TO, COSTS ARISING FROM THE IMPROPER PURCHASE OF GOODS OFFERED ON THE SITE, LOSS OF PROFITS, CUSTOMERS, DATA OR OTHER LOSS OF INTANGIBLE ASSETS.
Limitation of Responsability
Giumo makes no guarantees of any kind, expressed or implied, regarding in particular the integrity, accuracy, timeliness, non-infringement, availability, reliability and completeness of the information on the Website if these are provided by third parties, such as information on the products or services offered on the Website and/or their suitability for a particular use that the User intends to make of them.
Violations of the conditions of use
You acknowledge and accept that Giumo may store any transmission or communication sent to it, in full compliance with the privacy legislation, by the User through the Site or any service offered through the Site and may also communicate such data if required by law or if such retention or disclosure is necessary to (1) satisfy legal process, (2) enforce these terms of use, (3) respond to claims that such data violates the rights of others, or (4) protect the rights, property or personal safety of Giumo, the Site, its employees, Users or visitors to the site, and the public.
You agree that Giumo may, in its sole discretion and without notice, interrupt the User's access to the site and/or block it in the future if it believes that the User has violated these terms of use or other agreements or guidelines that may be associated with the use of the Site. It is also accepted that any violation of these conditions of use represents an illegal and unfair commercial practice and causes irreparable damage to Giumo, for which he can protect himself in the appropriate legal offices.
You agree that Giumo may, in its sole discretion and without notice, terminate your access to the site for reasons including (1) requests from law enforcement or other governmental authorities, (2) request of the User (voluntary account deletion), (3) termination or material modification of the Site or any service offered on or through the Site, or (4) unexpected technical problems or issues.
It is accepted that Giumo will not be liable to the User or to third parties for the interruption of the User's access to the Site following any violation of these terms of use.

Accounts, passwords and security
Some features or services offered on or through the Site may require you to register for an account (including setting up an ID and password). You are fully responsible for ensuring the confidentiality of your account information, including your password, and any activity that occurs using your account. You agree to immediately notify Giumo of any unauthorized use of your account or password, or any other breach of security. The user may be held responsible for losses suffered by Giumo or by other Users or visitors to the Site in the event of use of the ID, password or account by any person other than the User.
The use of IDs, passwords or accounts of other Users is not permitted without the explicit authorization and consent of the holder of such IDs, passwords or accounts. Giumo cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

General Terms
Changes
Giumo reserves the right to modify and update these General Conditions of Use at any time and without notice. The introduction of changes will be communicated via a notice on the Website. In the event that the User does not intend to accept the aforementioned changes, he must immediately stop accessing and using the Website. The continued access and use of the Site after the introduction of the changes implies tacit acceptance of the changes by the User.
Validity of the Contract
In the event that any provision of these GCU is declared invalid or ineffective due to a legislative change or following a ruling by a judicial authority, the remaining clauses of these GCU will remain fully valid and effective.
Applicable law
These General Conditions of Use are governed by Italian law. For any dispute relating to the existence, interpretation and/or execution, termination of these General Conditions of Use, the forum qualified will be that of Turin (Italy).
The official version of this document is written in Italian. In the event of contradictions, the Italian version shall prevail.
